Retired Dairibord Holdings Limited group chief executive officer Anthony Mandiwanza has reportedly handpicked his second wife Mercy Ndoro to take over his position, a report by Nehanda Radio claims.
Mandiwanza is retiring from Dairiboard with effect from 30 September 2022 after serving the company for 43 years.
He is being accused of nepotism and violating corporate governance principles by pushing for the appointment of his alleged second wife.
A statement attributed to Dairibord shareholder and former Institute of Directors board member Engineer Jacob Kudzayi Mutisi reads:
<blockquote>
We are the only country where shareholders are taken for fools. How in the world can a board allow the appointment of the former CEO’s second wife?
Anthony Mandiwanza has appointed his second wife Mercy Ndoro as the CEO for Dairiboard Zimbabwe which is an act of nepotism and misconduct according to corporate governance rules.
The strategy is simple Anthony is going to appoint himself as the chairman.
As a former board member and chairman of the Institute of Directors (IODZ), the home of corporate governance Anthony should know better that these kinds of appointments are illegal.
As a shareholder, I am requesting a response from the board on why it is allowing such an illegal decision to be made.
Such decisions are usually taken by a board that is tainted. Dairibord is not a family business.
It is a listed institution which should adhere to corporate governance and this kind of action does not reflect respect for the rules.
I am hereby requesting that the Zimbabwe Stock Exchange investigate this and charge the board of Dairibord with misconduct.

Nehanda Radio reported that Mutisi confirmed writing the statement in an interview with the Express Mail Zim. Mutisi was quoted as saying:

Yes, I can confirm that I did write that and I do not regret it. I am a law-abiding citizen and need answers from Anthony.
Where do we go as a nation if we have such violations of corporate governance rules?
He arm twists the board by providing unlimited fuel to board members, he captures them.
If he so wishes he can challenge me if he disputes raising children with Ndoro.

Retired Dairibord CEO Mandiwanza To Be Replaced By 'Second Wife' | Report

Captains of industry said that there is a need for honesty on the interbank market as foreign currency remains inaccessible.
Dairiboard Zimbabwe Limited chief executive, Anthony Mandiwanza, noted that foreign currency is not accessible at the quoted rate, which he said will lead to speculative behaviour. He said:
<blockquote>There is a need for more interbank transparency, we are not accessing the foreign currency as we anticipated when the interbank market was introduced.
At times the foreign currency is not accessed at the quoted rate (amount), which is a precursor for speculative behaviour in the economy.</blockquote>
The interbank market was introduced in February this year by the <a href="https://www.pindula.co.zw/Reserve_Bank_of_Zimbabwe" rel="noopener noreferrer" target="_blank">Reserve Bank of Zimbabwe</a> on a willing-seller, willing-buyer basis. It has, however, failed to eradicate the parallel market where forex is readily available but at a high cost.

Dairibord Zimbabwe Holdings has requested the government to be exempted from paying duty in foreign currency.
The company is facing a myriad of challenges which include foreign currency shortages as it relies on imported components.
Speaking to the Parliamentary Portfolio Committee on Industry and Commerce during a tour of the company premises, Chief executive Anthony Mandiwanza said:
<blockquote>The product we import is powdered milk. That’s the biggest consumer of foreign currency, followed by the polymers that we call the plastic granules to convert into packaging material of all description because our products need to be packaged into different packaging materials that do not compromise issues of health.
The third key import bill is the raw materials which are the ingredients that we put into yoghurts and ice-creams to make them tastier.
… Juice concentrates are part of the list that attracts duty in foreign currency. We have already submitted an application to the Minister of Finance and Economic Development and the Industry and Commerce minister to consider exempting these concentrates from duty.</blockquote>
