<a href="https://www.pindula.co.zw/Pretoria_Portland_Cement_Limited">Pretoria Portland Cement (PPC) Company Limited</a>, South Africa’s largest cement maker, is reportedly considering selling its Zimbabwe business for about $200 million.
A sale will help the company, founded in 1892, to focus on its South African operations, according to <a href="https://www.engineeringnews.co.za/article/ppc-weighs-sale-of-zimbabwe-unit-2023-02-07">Engineering News</a>.
Sources who spoke on condition of anonymity said discussions are at an early stage. 
Pricing negotiations are said to be ongoing, and there is no guarantee that a deal will go ahead. 
In responses to questions by Bloomberg, the company said:
<blockquote>
PPC regularly receives unsolicited approaches for various parts of its businesses, including PPC Zimbabwe.
PPC’s board has a duty to assess any such approaches on their respective merits.
</blockquote>
The PPC unit in Zimbabwe has attracted interest from a local company involved in road construction and home building, sources said.
PPC manages to conduct about 80% of its sales in US dollars, driven by demand for its products in mining, residential construction and government-funded infrastructure projects, according to the company’s trading statement.
Demand for the construction material is expected to expand to 1.6 million tons this year, an increase of about 60% from 2017, according to PPC. 
The alleged plan to sell the Zimbabwean unit comes as some overseas investors are fleeing Zimbabwe as it grapples with a currency crisis and the effects of US sanctions on many of the nation’s politicians and business people.
Holcim sold its business in the Southern African nation last year to a local firm.
A number of banks including Barclays and <a href="https://zero.pindula.co.zw/5-investors-make-bids-to-acquire-standard-chartered-bank-zimbabwe/">Standard Chartered are also leaving</a> Zimbabwe.

PPC Reportedly Considering Selling Its Zimbabwe Business

Five potential investors, including local and regional firms, have made their bids to acquire Standard Chartered Bank Zimbabwe (StanChart), the oldest financial institution in the nation.
On April 14 of 2022, the London-headquartered <a href="https://zero.pindula.co.zw/standard-chartered-bank-group-selling-selling-its-zimbabwean-subsidiary/">bank stated that it would withdraw</a> from Angola, Cameroon, the Gambia, Sierra Leone, Zimbabwe, Jordan, and Lebanon in the Middle East.
According to reports, the company is completely leaving these markets because StanChart accounted for only 1% of its 2021 revenue.
Bill Winters, the chief executive of Standard Bank, stated in April of last year that the financial institution was streamlining its operations while also narrowing its emphasis on the most significant chances for growth.
StanChart’s departure ends a 130-year presence in Zimbabwe.
According to the Independent, five investors have since submitted their bids and the list has since been reduced to three.
Banks which made bids:

i). CBZ Holdings and 
ii). FBC Holdings 
iii). FNB of South Africa 
iv). South African bank Nedbank through its shareholder, Old Mutual Zimbabwe, 
v). A consortium representing Zimbabwean entrepreneurs (names supplied) is also on the list of bidders.

StanChart Zimbabwe spokesperson Lillian Hapanyengwi said the process to identify potential buyers is ongoing.
Another source, however, said the finalisation of the transaction could be delayed by the upcoming general elections but confirmed bids from the five bidders.
This is not the first time that an international financial institution has exited the Zimbabwean market. 
On June 2, 2017, Barclays announced the sale of its outpost in Zimbabwe to Malawi-listed lender First Merchant Bank, a continuation of the bank’s exit from Africa.

5 Investors Make Bids To Acquire Standard Chartered Bank Zimbabwe

The News Hawks, a local publication, has claimed that the Permanent Secretary in the Ministry of Finance and Economic Development, <a href="https://www.pindula.co.zw/George_Guvamatanga">George Guvamatanga</a> is not telling the truth about his wealth. This comes after the former Barclays Bank employee hosted a lavish birthday party. Some believe his wealth was corruptly acquired. We present a series of messages posted on Twitter by The News Hawks.

After hiring a private jet for a holiday in Victoria Falls last year, Finance Permanent Secretary George Guvamatanga told the state-controlled daily The Herald that he worked for Barclays Bank for 30 years, 23 as a senior executive and 10 as CEO, a lie.
This reinforces the emerging truth that Guvamatanga plays fast and loose with facts by telling needless lies. In this statement, he is practically claiming that 23 + 10 = 30. The truth is he worked for the bank for 28 years, starting from bottom; didn’t start as a top executive.
Social media also challenged and exposed his lie that he worked for Barclays for 30 years by doing simple maths. Since he was celebrating 50 years after leaving in 2017, four years ago, this means this: 50-34=16. Which says he had joined the bank at 16, which is obviously false.
Companies, let alone banks, in Zimbabwe, don’t employ kids with 16 years because most of them would usually be still at high school. There is no way Barclays would have employed a 16-year old kid at high school when there were college or university graduates looking for jobs.
This invites the question: Why is Guvamatanga lying? What is he trying to hide? What’s the issue at stake here? He says he made millions at the bank, but records show that he didn’t. So where did he actually get the money from? That is the biggest question of this controversy.

Where Did Guvamatanga Get His Money? -TheNewsHawks

George Guvamatanga has quit as Barclays Bank’s managing director after 28 years of service to the financial institution.
Guvamatanga’s decision was announced by chairman, Mr Antony Mandiwanza in a statement. He said Guvamatanga had retired from the bank with effect from November 2017 following the successful acquisition of Barclays Bank PLC by FMB Capital Holdings.  Samuel Matsekete, the chief finance officer, has been appointed acting managing director. In October. Said Mandiwanza:

Guvamatanga quits Barclays Bank after 28 years

Barclays Bank Zimbabwe has announced that it is suspending DStv Payments due to limited foreign currency which needs to be allocated to critical services. The suspension is effective 1 December 2017. A notice from the bank reads:

Barclays Zim No Longer Accepting DStv Payments Due To Limited Forex

Reserve Bank of Zimbabwe (RBZ) Deputy Governor, Khupukile Mlambo said at the weekend that no Zimbabwean had the money to buy Barclays Bank which was sold to Malawai’s First Merchant Bank (FMB) Capital Holdings.
A number of Zimbabweans spoke against the acquisition arguing that it is against the Zimbabwe’s indigenisation and empowerment laws. Zanu-PF Youth League was very vocal against the deal despite approval by authorities, arguing the bank should have been sold to locals. Said Mlambo:
<blockquote>That’s why for example Barclays Bank was sold to a Malawian (FMB Capital Holdings) because we couldn’t find locally here somebody who could buy it. We had no money to buy and if we were to buy it we were going to borrow from an institution. It means we were going to borrow from local banks then we ship that money to the UK because Barclays headquarters are in the UK. We needed someone who could bring in their own money. This is the challenge. So, all this, which is in the papers is nonsense.</blockquote>

No Zimbabwean had money to buy Barclays Bank says RBZ

Barclays Bank Zimbabwe has announced that Malawi’s FMB Capital Holdings (FMBCH) has successfully acquired the majority stake in Barclays Bank Zimbabwe. This comes after shares worth $8.5 million changed hands on the Zimbabwe Stock Exchange on Thursday. The transaction was completed after fulfilling all statutory and regulatory requirements.
This means that shareholding in Barclays Bank Zimbabwe now stands as follows.

<li>42 percent – FMBCH</li>
<li>10 percent – Barclays PLC</li>
<li>15 percent – Employee Share Ownership Trust</li>
<li>33 percent – Listed in ZSE</li>
</ul>
In the statement, Barclays Bank Zimbabwe said:
<blockquote>Despite the change of ownership both FMBCH and Barclays have stressed that it’s ‘business as usual’ with no immediate changes anticipated to its service offering and network. For the first 12 months after conclusion of the deal, the bank will continue to operate under the Barclays brand with the FMBCH brand being introduced over a subsequent two year period.</blockquote>
BBZ board chairman, Antony Mandiwanza said:
<blockquote>The completion of this transaction marks an important juncture in the history of Barclays Bank Zimbabwe. It is testament to the successful franchise that the institution has become, particularly since dollarisation and in the current challenging macroeconomic environment, as evidenced by our 2017 half-year results.</blockquote>

Deal to sell Barclays Bank  Zim to FMB Malawi sealed, name won't change for first 12 months

The government through the Reserve Bank of Zimbabwe is expected to authorize the sale of Barclays Bank Zimbabwe to Malawi’s First Merchant Bank. This comes despite the opposition from local empowerment group the Affirmative Action Group president.
A source who spoke to weekly publication the Financial Gazette said:
<blockquote>Barclays Plc has been given the green light to consummate the deal while awaiting regulatory approval. Unless something bad happens, I don’t expect the Reserve Bank to spin and turn back the transaction.</blockquote>
While another source said
<blockquote>Unless something catastrophic happens, we expect the Reserve Bank to give its approval by August 31. The other approvals have already been granted.</blockquote>

Government to approve sale of Barclays Bank to FMB Malawi despite opposition

Barclays Bank Zimbabwe posted a 191 percent increase in net income to $9.5 million from $3.3 million in the corresponding period last year. Total deposits increased to $390,6 million from $280,4 million previously, while loans and advances to customers fell to $113,5 million from $126,5 million recorded in the same period last year.
The bank did not declare a dividend.

Barclays Zim net income for half year goes up by 191%

Workers at Barclays Bank Zimbabwe will receive a bonus of 5 months’ salary from Barclays Bank Plc. This will be a closing bonus from the British bank which sold its stake in Barclays Zimbabwe to Malawi’s First Merchant Bank. The bonus payment will cost Barclays Bank $2,6 million.
A source who spoke to Independent said:
<blockquote>Employees will get a five months’ salary closing bonus paid as a goodbye by Plc. This will cost the group £2 million which will obviously be taxed.
The deal is now expected to be concluded formally in the coming month.
Soon after concluding the transaction, several board changes will be announced which will also coincide with co-branding the business to Barclays-FMB.</blockquote>

Barclays Bank  employees to get 5 months salary as closing bonus

The Reserve Bank of Zimbabwe Governor John Mangudya has said that the transaction which Malawi-based First Merchant Bank purchased shares in Barclays Bank Zimbabwe is legal. Mangudya said that the transaction complies with the country’s indigenisation policy contrary to what some quarters have claimed. Some workers of Barclays Zimbabwe were contesting the sale and had appealed to the High Court to block the sale.
According to Mangudya however, Barclays only sold 43 percent to First Merchant Bank which is well within the indigenisation threshold of 49 percent. Mangudya said 15 percent will be offered to employees and management while 10 percent would be retained by Barclays Plc for the next three years to ensure business continuity.
Appearing before, a portfolio committee of parliament Mangudya said:
<blockquote>When you look at it the shares that are actually being sold are 43 percent. This is below 49 percent reserved for foreigners</blockquote>

Barclays deal is legal, it complies with indigenisation: Reserve Bank

Disgruntled workers at Barclays Bank of Zimbabwe, have joined the Barclays Bank Managers Association (BBMA) in an effort to thwart the sale of the bank to First Mutual Bank (FMB) Malawi. The managers had initially approached the High Court to block the sale, but have not decided to drop the legal challenge. Instead, they now want to petition the government to block the sale. They are approching the Zimbabwe Stock Exchange (ZSE), the Reserve Bank of Zimbabwe (RBZ), the Ministry of Finance and Economic Development and the Ministry of Indigenisation and Economic Empowerment to prevent the takeover.
Rodgers Matsikidze, lawyer for the BBMA said:
<blockquote>I am confirming that we are filing our objections with the Zimbabwe Stock Exchange, the Reserve Bank of Zimbabwe, the Ministry of Finance and the Ministry of Indigenisation and Economic Empowerment on Wednesday (yesterday)</blockquote>

Barclays Bank workers ask govt to block FMB Malawi from taking over

Kudzai Chipanga, leader of the ZanuF Youth League wants President Mugabe to reverse the sale of Barclays Bank of Zimbabwe (BBZ) to First Merchant Bank of Malawi (FMB). According to Chipanga, the sale is in direct violation of the country’s indigenisation laws and leaves the country open to sabotage.
Speaking at last week’s “Meet the Youth” rally in Marondera, Chipanga said:
<blockquote>We are worried that Barclays is being bought by a foreign company instead of locals. This raises the risk of foreigners sabotaging us,
We want to ask if there is nothing the government can do to be able to buy the Barclays stake in line with indigenisation laws. We have banks such as CBZ and we have to look at other (ways) on how we can have locals owning the bank,</blockquote>

Zanu-PF wants govt to reverse sale of Barclays due to indigenisation laws

Barclays Bank Plc which last week sold its 68 percent stake in Barclays Bank Zimbabwe to Malawi’s FMB has reassured workers that they will not be losing their <a href="https://vacancymail.co.za/categories/mining-jobs-in-south-africa/">jobs</a>. All employees and branches will be retained FMB Malawi.
In an e-mail last week, the United Kingdom-based financial institution said:
<blockquote>The sale will result in all 700 <a href="https://vacancymail.co.za/categories/sales-marketing-advertising-pr-publishing-jobs-in-south-africa/">employees</a>, 25 retail branches and five corporate service centres becoming a part of the FMB group. This transaction will see a £292 million reduction in risk weighted assets.
Barclays Bank PLC has today (June 1) announced the sale of its majority shareholding in Barclays Bank of Zimbabwe Limited to FMB capital holdings PLC. Completion of this transaction is subject to regulatory approvals and is currently expected to conclude by the end of the third quarter 2017</blockquote>

You are not going to lose your jobs: Barclays reassures employees

After months of fierce bidding, FMB Malawi has purchased the majority stake in Barclays Bank Zimbabwe, which was formerly owned by Barclays Plc. This means that FMB now owns 68 percent of Barclays Bank Zimbabwe.
According to a report by the Zimbabwean Independent, the directors of FMB Malawi sealed the deal in London yesterday. The deal will officially be announced to Barclays Bank Zimbabwe managers and workers at around 5pm today.
A source who spoke to the Independent said:
<blockquote>It’s a done deal.
It was signed in London yesterday (Tuesday). Barclays Plc and FMB managers have just arrived in Harare for meetings to finalise the transaction pending regulatory approvals.</blockquote>

Malawi's FMB buys majority stake in Barclays Bank Zimbabwe

The employees of Barclays Zimbabwe are seeking to prevent the sale of the bank to the First Merchant Bank of Malawi or any other buyer. The employees filed an urgent application at the High Court demanding the right of first refusal. A group representing the employee also contends that the sale of the bank needs to comply with local laws.

Employees of Barclays Zim go to High Court to block sale

FMB Malawi sent a cautionary statement to its shareholders advising them, that it is negotiating to buy a controlling stake in Barclays Bank Zimbabwe.
Part of the statement reads.
<blockquote>Acquisition of a controlling shareholding in Barclays Bank Zimbabwe Limited
Further to the above, the Directors also advise that FMB is engaged in exclusive discussions with Barclays Bank PLC (“BB PLC”), in relation to the potential acquisition of its interests in Barclays Bank Zimbabwe Limited (“BBZ”). Discussions with BB PLC are ongoing and may or may not result in the announcement of a transaction involving the acquisition by FMBCH of the interest of BB PLC in BBZ. Such transaction would also be subject to obtaining approval of the banking regulators in Malawi and  Zimbabwe.
The Directors therefore advise shareholders of FMB and the public to exercise caution and to consult their professional advisers when dealing in the shares of FMB. Further announcements will be made in due course.
